Terms of Service

These Terms of Service ("Terms") govern your access to and use of VersoDocs (the "Service") operated by VersoDocs ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Authentication is provided by Clerk; use of Clerk is subject to Clerk’s own terms.

You retain all rights to the documents, files, and other content you upload to the Service ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to operate the Service for you.

We do not access Customer Content except as needed to provide the Service, to comply with the law, or with your explicit permission (e.g., for support).

You agree not to use the Service to (a) violate any law, (b) infringe intellectual property rights, (c) distribute malware or phishing content, (d) attempt to gain unauthorized access to our systems or other customers’ data, or (e) interfere with the integrity or performance of the Service.

Paid plans are sold per seat per month or annually. Billing is processed by Polar as the Merchant of Record. Annual plans renew automatically unless cancelled before the renewal date.

We do not pro-rate refunds for partial months. If we materially reduce the functionality of a paid plan, we will offer a pro-rated refund for the unused portion of the term.

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and will provide advance notice for non-emergency maintenance windows.

You can cancel your subscription at any time from the Billing page. We may suspend or terminate accounts that violate these Terms, with notice except in cases of clear and ongoing abuse.

On termination, you may export your documents using the Pro-plan export feature for a limited period, after which we may permanently delete your data.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim.

We may update these Terms from time to time. Material changes will be posted here and, where appropriate, communicated by email before they take effect.
